You may also want to notify the IRS and your state taxing authority after the amendment has been filed. Purpose Amendment - When your articles were initially filed with the state you were required to provide a purpose for the business. Some states require a general purpose which allows for any lawful purpose while other states will require a more detailed purpose to be provided. If the direction of your companies focus has changed and your state initially required a more detail purpose you may want to consider filing a certificate of amendment. Share Amendment - During the life of your corporation you may find it necessary to change the stock structure of the business. The main reasons are to attract new investors and additional capital.
